ABSTRACT

The basic concern for conducting this project was to evaluate the internal control measures and corporate governance of firms in Nigeria. Survey of selected manufacturing companies in Rivers State. The problems that hinder internal control system and corporate governance are errors, wastage, theft and fraud and to prevent this internal control system and corporate governance must be effectively implemented to prevent and possibly ensure early detection of irregularities that may be costly to the organization. The main objective of the study is to evaluate the internal control measures and corporate governance of firms in Nigeria and the specific objective is to determine the effect of internal control system on performance of firms in Nigeria. Data was collected from primary source with a well structured questionnaire and the method of data analysis used for the research is simple regression. The findings of the research work shows that there is significant effect of internal control measures on management performance of firms in Nigeria. And that cost reduction techniques have significant impact on the financial performance of firms in Nigeria. From the findings of the data analysis, the researcher concluded that evaluation of internal control measures and corporate governance of firms in Nigeria is very important for management performance. The researcher also concludes that there is significant effect of internal control measures on management performance of firms in Nigeria. And that cost reduction techniques have significance impact on corporate governance of firms in Nigeria. And hereby that recommended that Managers should employ internal control measures for effective running of their organization as it has been approved that cost reduction technique has significant impact on the financial performance of firms in Nigeria.
