ABSTRACT


The study examined the effect of corporate governance on financial performance of banks in

Nigeria. The specific objectives were; to determine the effect of directors' equity interest on

return on equity of banks in Nigeria, to analyze the effect of board size on return on asset of

banks in Nigeria, to ascertain the effect of board composition on profit after tax of banks in

Nigeria. This study used secondary data derived from the financial statement of united bank

of Africa. The study covered from 2000 to 2016. Ordinary Least Square (OLS) regression

was used to test the stated hypotheses. The study observed that directors' equity interest has

significant effect on return on eqiity of banks in Nigeria, board size has no significant effect

on return on asset of banks in Nigeria, board composition has no significant effect on return

on asset of banks in Nigeria .It was recommended that study bank should as matter of

urgency increase the value of stock ownership of board members since directors' equity

interest has significant effect on return on equity of bank in Nigeria
